Doctor Empanelment & Platform Agreement

This Doctor Empanelment and Telemedicine Platform Agreement("Agreement") constitutes a legally binding contract entered into between Homeo AI Clinic("Platform", "Company", "we", "us") and the individual medical practitioner executing this digital agreement ("Doctor", "Physician", "Practitioner", "you").

This electronic contract is executed in accordance with Section 10A of the Information Technology Act, 2000, and complies with the National Medical Commission (NMC) Telemedicine Practice Guidelines (2020), the National Commission for Homoeopathy Act, 2020, the Consumer Protection (E-Commerce) Rules, 2020, and the Reserve Bank of India (RBI) Guidelines on Regulation of Payment Aggregators and Payment Gateways.

By clicking "I Agree" during registration, submitting your medical credentials, or accessing the Physician Portal, you unconditionally agree to be bound by all terms, schedules, and policies set forth herein.

The Physician expressly represents, warrants, and covenants that:

• Recognized Qualifications: You hold a recognized degree in Homoeopathy (BHMS, MD (Hom), or equivalent recognized by the Central Council of Homoeopathy / National Commission for Homoeopathy).
• Active Registration: You hold an active, valid, and unencumbered registration with the State Homoeopathic Medical Council or the National Commission for Homoeopathy (NCH) Registry / Healthcare Professional Registry (HPR).
• Statutory Compliance: You shall conduct all remote consultations in strict adherence to the National Medical Commission Telemedicine Practice Guidelines (2020) and the Code of Medical Ethics Regulations.
• Immediate Notice of Change: You agree to immediately notify Homeo AI Clinic in writing if your license is suspended, revoked, or subjected to disciplinary investigation by any statutory authority.

Principal-to-Principal Relationship: The relationship between the Physician and Homeo AI Clinic is that of an independent healthcare consultant and a technology provider / marketplace facilitator. Nothing in this Agreement shall be construed as creating an employer-employee, partnership, or joint-venture relationship.

Absolute Clinical Independence: The Physician exercises sole and complete professional judgment in evaluating patient symptoms, determining diagnoses, ordering diagnostic tests, selecting homeopathic remedies, and prescribing potencies. Homeo AI Clinic does not interfere with, dictate, or influence your clinical decisions.

Role of AI Decision-Support: The AI-assisted case analysis, rubric extraction, and repertorization tools provided on the Platform are assistive intelligence tools designed for clinical convenience. The Physician remains solely responsible for validating all outputs and ensuring prescribing accuracy.

Homeo AI Clinic operates a multi-currency billing and payout engine. Platform software facilitation fees, payment acquiring costs, and payout mechanisms differ between Domestic (INR) and International (USD/EUR/GBP) teleconsultations.

Appointment as Limited Collection Agent:The Physician hereby expressly appoints Homeo AI Clinic (and its designated payment gateway partners: PayU Payments Private Ltd, Razorpay Software Private Ltd, and Cashfree Payments) as the Physician's limited commercial collection agent solely for the purpose of accepting, collecting, and holding consultation fees paid by patients on behalf of the Physician.

Receipt as Valid Discharge:Payment received by Homeo AI Clinic from a patient for a booked consultation shall be deemed to satisfy the patient's financial obligation to the Physician in respect of that service.

Disbursal Timing & Triggers:

• Payouts are automatically authorized once the Physician has completed the teleconsultation and issued a valid digital prescription or clinical case closing note.
• Disbursements are dispatched to the Physician's verified Indian Bank Account (via IMPS/NEFT) or verified UPI VPA.
• The Physician is responsible for providing accurate IFSC, Account Number, and UPI details in their profile. Homeo AI Clinic is not liable for disbursal failures caused by incorrect details provided by the Practitioner.

Physician No-Show: If a Physician fails to attend a confirmed appointment or fails to review an assigned case within 72 hours, the patient is entitled to a 100% refund in accordance with our Patient Refund Policy. In such circumstances, no payout shall accrue to the Physician.

Clawback / Offset: In the event of a legitimate patient dispute, chargeback from card schemes, or unauthorized duplication where funds were disbursed to the Physician prior to case cancellation, Homeo AI Clinic reserves the right to offset the corresponding amount against future consultation payouts.

Mandatory 3-Year Record Retention: Pursuant to the National Medical Commission (NMC) Telemedicine Practice Guidelines (2020) and applicable healthcare regulations, the Physician agrees to maintain patient case records and digital prescriptions generated via the Platform for a minimum statutory period of 3 years.

Patient Privacy & Data Protection: The Physician shall treat all patient communications, medical history, and health data as strictly confidential Protected Health Information (PHI). The Physician shall not download, transfer, or disclose patient health information outside of authorized clinical consultations, in compliance with the Digital Personal Data Protection Act (DPDPA), 2023.

Taxes on Platform Services: Platform facilitation fees and SaaS subscription fees charged by Homeo AI Clinic are subject to applicable Goods and Services Tax (GST).

TDS Withholding:Where applicable under the Indian Income Tax Act, 1961 (including Section 194-O for e-commerce marketplace facilitators or Section 194J for professional technical fees), Homeo AI Clinic or its acquiring payment aggregators shall deduct applicable Tax Deducted at Source (TDS) against the Physician's PAN, and furnish appropriate TDS certificates (Form 16A) as required by law.

Income Tax Responsibility: The Physician is solely responsible for reporting consultation revenues and paying all applicable income taxes and professional taxes to local tax authorities.

Term: This Agreement commences upon electronic acceptance during registration and remains in effect until terminated by either party.

Convenience Termination: Either party may terminate this Agreement by giving 15 days written notice via email to [email protected], provided that all pending appointments and active cases are fulfilled or reassigned.

Immediate Termination for Cause: Homeo AI Clinic reserves the right to immediately suspend or terminate access if the Physician: (a) loses their medical registration; (b) engages in professional malpractice, fraud, or abusive conduct; or (c) breaches patient data confidentiality.

This Agreement shall be governed by, and construed in accordance with, the laws of the Republic of India. Any controversy, claim, or dispute arising out of or relating to this Agreement shall be resolved through amicable negotiation.

If unresolved within 30 days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be where the clinic operator is legally registered, and proceedings shall be conducted in English.
